The Fine Print:
Clio Rewards Program Policy

Effective Date: July 14, 2014

The following Terms and Conditions govern the Clio Rewards Program, hereinafter referred to as the “Rewards Program”.

1. Definitions: In these Terms and Conditions:

(a) “Clio” means Themis Solutions Inc.’s (Themis) proprietary online, cloud-based legal practice management software and service, together with any related documentation and services, that are licensed by Clio to end users from time to time.

(b) “Referral” means the new and unique business opportunity of a potential customer, being new opportunities not previously known to Clio, nor reasonably likely to be identified in a timely way except for your referrals contemplated under the Rewards Program.

(c) “Referral Customer” means a customer gained by Clio through a Referral by you under the Rewards Program.

(d) “Referral Points” or “RPs” means the credits you earn for each Referral that has been qualified pursuant to these Terms and Conditions. RPs are granted only for the purpose of the Rewards Program and cannot be used for any other purpose or transferred to another person.

(e) “iPad Mini” means the 1st generation model (8GB / WiFi).

2. Acceptance:

In order to participate in the Rewards Program, you must have or obtain a valid Clio account and otherwise not be prohibited by us. Your participation in the Rewards Program constitutes your acceptance of and agreement with these Terms and Conditions.

3. Costs:

You will bear your own costs in pursuing the objectives of the Rewards Program, including PayPal fees, and you may not bring a claim against Themis for any costs or expenses relating to any effort expended in providing Referrals under the Rewards Program. You acknowledge that you have not received from Themis any warranty or guarantee, express or implied, with respect to your potential profit or success under the Rewards Program.

4. Themis may Reject:

Themis will be under no obligation to enter into any subscription, license or other agreement with any third party regardless of whether or not the request for the provision thereof resulted from any Referral you have provided. Under no circumstances will you have the authority, or purport to have the authority, to legally bind Themis to any arrangement with a third party.

5. Tracking of Referrals:

The Rewards Program enables you to recommend Clio to a potential Referral Customer using a referral link provided by Clio. The referral link contains a unique parameter assigned to you. Any fraudulent activity that can be traced directly to you or the Referral will cause immediate termination of your Rewards Program account, forfeiture of any granted Referral Points, and possible legal prosecution.

6. Provision of Referral Points:

For each Referral that results in a new Referral Customer by using the referral link provided to you by Clio, and provided that the Referral is otherwise fully qualified under these Terms and Conditions, you shall receive one (1) Referral Point, which will be allocated to your account under the Rewards Program.

7. Accreditation of Referral Points:

Referral Points are calculated and accredited once the Referral has become qualified. In order to become qualified, the following must occur:

(a) the Referral Customer must have cookies enabled on their browser in order for the Referral to be recorded or registered;

(b) the Referral must complete a minimum of two (2) paid subscription months beyond any free trial period;

(c) during the first two (2) month paid subscription period, there must have been no refund, chargeback or any complaint about your activities under the Rewards Program, whether because of spam tactics or unethical behaviour of any kind;

(d) you must not have submitted yourself as a Referral or otherwise engaged in any other fraudulent activity; and

(e) the Referral must be verified by Themis as constituting a true “Referral” as defined in these Terms and Conditions;

If the above conditions are met, the Referral Points are credited to your account 90 days after the date of the Referral Customer signup. By way of illustration, if you were to refer a visitor to Clio on September 1st, and that Referral Customer signed up on September 5th, then your Referral Points would be recorded in your account on December 5th (90 days after the Referral Customer signed up). Referral Points credited in error, or which are subsequently discovered to relate to a Referral that is not qualified may be cancelled or revoked by Clio.

8. Subsequent Purchases by Referral:

Referral Points are only credited for initial purchases made by Referrals that relate to new customers. Any additional or subsequent purchases made by a Referral Customer will not be covered by the Rewards Program and will not generate any Referral Points for you.

9. Redemption of Referral Points:

Every qualified Referral earns you one (1) Referral Point. For every three (3) Referral Points you have accumulated, you will receive a black iPad Mini. Clio will also cover the cost of standard (non-expedited) shipping. There are no limits to the number of Referral Points you can earn towards further iPad Minis. Your receipt of an iPad Mini is in lieu of any other compensation.

10. Termination and Modification:

Clio reserves the right to terminate your account and all subsequent payouts if you are in violation of these Terms and Conditions. These Terms and Conditions are subject to change without notice. The Rewards Program may be modified or terminated by Themis at any time without prior notice. Any accumulated Referral Points cannot be used after the termination of the Rewards Program. Any purchases made by a Referral Customer after the termination of the Rewards Program do not count towards the qualification of any Referral.

11. Termination and Modification:

These Terms and Conditions shall be governed in all respects by the laws of the Province of British Columbia and the laws of Canada applicable therein, excluding its choice of law rules and the United Nations Convention on Contracts for the International Sale of Goods. You hereby consent to the exercise of exclusive jurisdiction by the courts in the Province of British Columbia for any claim relating to the enforcement of, or any rights under, these Terms and Conditions.

12. No Agency:

The parties acknowledge that each is an independent contractor and nothing herein constitutes a joint venture or partnership. You have no right to vary any policies, conditions, representations or warranties made by Themis, you have no right to bind nor act for Themis as agent or in any capacity except as expressly provided in these Terms and Conditions. The relationship under these Terms and Conditions will not create any legal partnership, franchise relationship or other form of legal association between the parties that could impose a liability between the parties or to third-parties.

13. No Assignment:

You may not assign any right or obligation arising under these Terms and Conditions and the Rewards Program without the prior written consent of Themis. Subject to the foregoing, these Terms and Conditions shall be binding upon and inure to the benefit of each party and its respective successors and permitted assigns.

14. Severability:

If any provision of these Terms and Conditions is found invalid or unenforceable under any applicable laws or regulations, that provision will be deemed stricken from these Terms and Conditions, but its invalidity or unenforceability will not invalidate any other provisions of these Terms and Conditions.

15. Entire Agreement:

These Terms and Conditions constitute all the terms and conditions of the agreement between you and Clio with respect to the Rewards Program and other subject matter of this Terms and Conditions, and supersedes all other proposals, understandings and negotiations between you and Themis. Any representations, oral statements, promises or warranties made by either party that differ in any way from the terms of these Terms and Conditions shall be given no force or effect.
